Chapter I General Provisions

Article 1 Chinese name of the organization: 国际健康与环境产业联合会; English name: International Health and Environment Industry Association (IHEIA).

Article 2 IHEIA is a global non-profit organization focusing on the healthcare and environmental industries. Its European headquarters office is located in Copenhagen, Denmark, and its Chinese headquarters office is located in Beijing, China.

Article 3 The IHEIA was jointly initiated by government agencies, industrial parks, business chambers, industry enterprises, financial and investment institutions, and research institutes which engage in the health and environmental fields.

Article 4 The IHEIA takes the United Nations Sustainable Development Goals as its blueprint, aiming to continuously improve healthy development of human beings, and leverages the synergistic innovation advantages of its international cross-border network that is composed of governments, producers, academia, and research institutions. It takes capital investment as the link and industrial development as the core. It enables members to share global information, promotes Chinese-foreign cooperation, and strives to build a green, natural, healthy, smart, sustainable development platform.

 

Chapter II Service Functions

Article 5 The main service functions of IHEIA are as follows:

(I) International exchange services:

To meet the demands of key cooperation countries and regions on economic and trade and cultural exchanges, it is dedicated to organizing a series of special lectures, industry seminars, investment salons, cultural salons, “International Health and Environment Forum”, holding events of “International Health and Environment Investment and Cooperation Match-making”, promoting urban environment investment and other activities to act as a go-between for members and partners, and actively participating in international cooperation under the “Belt and Road Initiative”.

(II) Think tank service:

It innovatively builds an international think tank platform to bring together international strategic partnerships, research institutions, think tank partners and industry experts, and provides in-depth consulting services for “policy analysis + market research + industrial planning + resource introduction”. The research areas of the think tank include health management, mobile healthcare platform, wearable medical technology, high-performance healthcare devices and equipment, high-efficiency energy-saving and emission reduction, environmental pollution prevention and control, new energy development and utilization, solid waste and water treatment technology, and circular economy, etc.

(III) International accelerator service:

Through the “International Mass Health Innovation Center” technology service network, the “International Health and Environment Application Center” and other industrial park accelerator service platforms, it is dedicated to helping members to partner with governments, parks, associations, research institutions, enterprises and other entities in cities of target countries, and provide platform services and supports such as institution establishment, administrative secretary, financial, tax and legal affairs, business consulting, promotion and publicity, financial investment, project matchmaking, and government relations coordination, etc.

(IV) Industrial project promotion services:

Relying on the think tank of industry experts, it assists members and strategic partnerships to screen and select the most valuable and potential projects, and promotes talent exchange, technical cooperation, overseas mergers and acquisitions, asset acquisition and so on. It covers the whole service process of information provision, business negotiation, due diligence of project, M&A consultation, post-investment management and marketing promotion, etc.

(V) Public welfare supports:

In response to the UN Sustainable Development Goals, taking healthy cities and healthy communities as starting point, IHEIA organizes the “Lecture on Healthcare and Environment for Public Welfare”; participates in organizing the writing of China Healthy Community Development Report (Blue Book); actively participates in the UN-sponsored public welfare activities for 17 goals including elimination of poverty and hunger, improving health, education, gender equality, water and environmental sanitation, energy, and addressing climate change; encourages members to participate in public welfare actions so as to create a healthy and positive social welfare action platform.

Chapter III Members

Article 6 Members must meet the following conditions:

(I) Agree with the IHEIA positioning and concepts on the platform.

(II) Comply with the Articles of Association of IHEIA and relevant rules.

(III) The government-related industrial park management committees, industry associations, academic institutions, enterprises and other institutional members should be economic entities established according to law and legally operating.

Article 7 Procedures and materials for admission:

(I) Fill in and submit an application form for joining the Association.

(II) Companies and institutions applying for membership shall submit a business license (copy, with official seal) or organization code certificate (copy, with official seal), and identify the department and person for liaison with the Association.

(III) After joining the Association, they will be issued a membership card by the IHEIA.

Article 8 Rights that a member can enjoy:

(I) The right to elect, be elected and vote in the IHEIA.

(II) The right to participate in a variety of activities organized by the IHEIA, and enjoy priority in regards to the services provided by IHEIA.

(III) The right to make proposals to the IHEIA, and the right to supervise the operation of the IHEIA.

(IV) Other rights of IHEIA members.

(V) The right to freely join and exit as a member of the IHEIA.

Article 9 Members shall fulfill the following obligations:

(I) Implementing resolutions made by IHEIA. 

(II) Maintaining the reputation and legal rights of the IHEIA.

(III) Actively participating in the activities of the IHEIA, and supporting to complete related work.

(IV) Making reasonable proposals to the IHEIA. 

(V) Paying the membership fee in a timely manner, and complying with relevant rules of the Association.

Article 10 If a member quit, it shall notify the committee in writing, and shall return the membership card. If a member does not pay the membership fee for two consecutive years or does not participate in the activities of the Association, its membership will be cancelled and the membership card will be withdrawn.

Article 11 If a member seriously violates the Articles of Association of the IHEIA, it should be removed after a vote of the members.

Article 12 If a member or an individual has made outstanding contributions to the Association, it may be commended and rewarded by the General Assembly.

Article 13 Corporate members or institutional members with strong comprehensive development strength, certain industry influence and contribution to the economic development of the industry of health and environment may be invited to serve as chairman or joint chairman of the Association.

Chapter IV Organization

Article 14 The Council is the decision-making department of the IHEIA, and is responsible for determining major decisions. According to the resolution of the Council, a standing council may be established to perform relevant duties and exercise relevant powers during the recess of the Council.

Article 15 The powers and duties of the Council are:

(I) Formulating and amending the Articles of Association.

(II) Validating annual work plan, annual budget, work report, financial report, etc. of the Association.

(III) Election and removal of members of the Council.

(IV) Deciding on its termination issue.

(V) Deciding on other major issues.

Article 16 The Council meeting shall be held at least once a year that shall be attended by at least more than two-thirds of the directors. If a director is unable to attend due to any reason, he/she may appoint a representative to attend the meeting on his/her behalf. A resolution is valid only after it is passed by more than half of the participating directors / authorized representatives.

Article 17 A Council serves for five years. If it is necessary to hold earlier or postpone the council election due to a special circumstance, it shall be approved by the General Assembly.

Article 18 The Council shall have one chairman, one joint chairman, a number of executive deputy chairmen and deputy chairmen, which shall be elected by the Council and shall be confirmed by a written confirmation letter issued by the Council office meeting.

Article 19 If necessary, the IHEIA may hire consultants, experts and honorary members upon approval by the Council or the Standing Council.

Article 20 The IHEIA has a secretariat, which is a permanent office and an executive body. It carries out day-to-day operation in accordance with the Articles of Association and is responsible for implementing the decisions made by the Council/ General Assembly and annual work plans. The Secretariat shall have one secretary-general, one executive secretary-general, certain executive deputy secretaries-general (if needed) and a number of deputy secretaries-general (“the head of the Secretariat” for short) responsible for the day-to-day operation of the Secretariat.

Article 21 The specific duties of the Secretariat are:

(I) Abiding by the provisions of the Association, implementing the resolutions made by the Council and the General Assembly, and reporting its duty performance to the Council and the General Assembly.

(II) Drafting annual work plan and annual summary report.

(III) Organizing and implementing issues within the business scope determined by the Articles of Association, and completing the annual work plan.

(IV) Preparing and drafting relevant materials to be submitted to the Council or the General Assembly for review and approval.

(V) Preparing the meetings of the Council and the General Assembly.

(VI) Coordinating related matters.

Article 22 The Secretary-General shall be responsible to the Council of the Association and the General Assembly, for presiding over the day-to-day operation of the Secretariat, leading the Secretariat to organize and implement the annual work plan and other tasks assigned by the Council, and representing the Secretariat to report its duty performance to the Council and the General Assembly.

The Secretariat implements the system of the Secretary-General’s office meeting, whereby it formulates the meeting rules, holds regular meetings, informs the daily operations, discusses and decides the work and activities to be carried out, records the meeting minutes, sends copies to the head of the Council, etc., and notifies key issues to the members of the Council.

Article 23 The Association may establish certain expert committees as needed. An expert committee generally consists of relevant government leaders and industry experts who are with prestigious fame, deep theoretical knowledge and rich experience in the industry.

Chapter V Funding Sources and Management

Article 24 The sources of funds of the Association include: annual membership fees paid by members, service income, donations and sponsorships, etc.

Article 25 The Association shall abide by the rules of financial and membership fee management as a non-profit organization, to perform the financial approvals and reimbursement procedures in strict accordance with the rules, to independently use the fund in compliance.

Article 26 The funds of the Association shall be used within its business scope and undertakings as stipulated in the Articles of Association, and shall not be used for other purposes.

Article 27 The Articles of Association of the IHEIA shall come into force on the date it is approved by the Council of the Association.

Article 28 The one who has right to interpret the Articles of Association shall be the General Assembly of the IHEIA.

第一章 总则



第一条 中文名称:国际健康与环境产业联合会,英文名称:International Health and Environment Industry Association (IHEIA).



第二条 IHEIA 是聚焦健康产业与环境产业领域的全球性非盈利组织,欧洲总部办公室设立在丹麦哥本哈根,中国总部办公室设立在北京。



第三条 IHEIA由大健康领域、环境领域相关联的政府机构、产业园区、商协会、行业企业、金融投资机构、科研院所等联合发起成立。



第四条 IHEIA以联合国可持续发展目标为蓝图,以持续改善人类健康发展为目标,发挥官产学研国际跨境网络的协同创新优势,以资本投资为纽带,以产业发展为核心,共享全球信息,促进中外合作,搭建绿色、自然、健康、智慧的可持续发展平台。

第二章 服务职能



第五条 IHEIA 主要服务职能如下:



(一)国际交流服务:
据重点合作国别与合作区域经贸文化交流需求,组织系列专题讲座、行业研讨、投资沙龙、文化沙龙、“国际健康与环境论坛”、“国际健康与环境投资与合作对接会”、城市投资环境推介会等活动,为会员单位与合作伙伴牵线搭桥,积极参与“一带一路”国际合作大流通。



(二)专家智库服务:
创新搭建国际化专家智库平台,聚合国际战略伙伴、科研机构、智库伙伴、产业专家,创新提供“政策分析+市场调研+产业规划+资源导入”深度咨询服务。合作智库专家研究领 域包括健康管理、移动健康平台、穿戴式医疗技术、高性能健康医疗器械以及高效节能减排、环境污染防治、新能源开发利用、固废及水处理技术、循环经济发展等。



(三)国际加速器服务:
通过“国际大健康创新中心”科技服务网络、“国际健康与环境应用中心”等产业园区加速器服务平台,帮助会员单位与目标国别城市相关政府、园区、协会、科研、企业等协同对接,提供涵括机构设立、行政秘书、财税法务、商务咨询、推介宣传、金融投资、项目对接、政府关系协调等平台服务支持。



(四)产业项目促进服务:
依托产业专家智库,协助会员单位与战略伙伴筛选最具价值及发展潜力的项目,促进人才交流、技术合作、海外并购、资产收购等。涵括信息提供、商务谈判、项目尽调、并购咨询、投后管理、市场推广等服务全过程。



(五)公益行动支持服务:
响应联合国可持续发展目标,以健康城市、健康社区为切入点,围绕健康与环境主题,策划组织“健康与环境公益大讲堂”。参与组织《中国健康社区发展报告(蓝皮书)》编写。积极参与联合国消除贫困与饥饿、健康、教育、性别平等、水与环境卫生、能源、气候变化等17项目标的相关公益活动。鼓励成员单位参与公益行动,创造健康、积极、正能量的社会公益行动平台。
